3.1 By accessing the Website or using AccountsUp’s services, you unequivocally represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into a legally binding contract under the applicable laws of India.

The submission of any misleading, incorrect, or false information may, at AccountsUp’s sole discretion, lead to the immediate suspension or termination of your account/ledger and access to our services, without any liability to you.

4. Fees and Payment

4.1 The provision of AccountsUp’s services may be subject to the payment of applicable fees, the details of which will be communicated to you based on the specific services you engage us for. These fees may vary depending on the type, scope, and complexity of the services required.

4.2 All payments for services must be made in advance before the service commencement, unless explicitly agreed otherwise in writing by AccountsUp. We accept various payment methods as specified by us, which may be modified at our discretion. Payments must be made exclusively in the name of AccountsUp, and only to our designated “Current Accounts” through NEFT/IMPS, RTGS, and authorized digital payment wallets (CashFree, Razor pay, Aggrepay). We do not accept payments to personal accounts or under any other name.

4.3 Any refunds, if applicable, will be processed strictly in accordance with AccountsUp’s Refund Policy, as communicated to you or published separately. Fees paid for services may be non-refundable except as expressly stated in our Refund Policy. AccountsUp reserves the right to modify its Refund Policy at any time.

5. User Responsibilities

5.1 You bear the sole and exclusive responsibility for ensuring the accuracy, completeness, and veracity of all information you provide while using AccountsUp’s services. AccountsUp shall not be held liable for any errors, discrepancies, or consequences arising directly or indirectly from incorrect or incomplete information submitted by you. This includes, but is not limited to, financial data, business details, and information required for tax and regulatory filings.

5.2 You explicitly agree not to engage in any activity that in any way interferes with, disrupts, damages, or compromises the functionality, security, or accessibility of our services, Website, servers, or networks connected to our Website.

5.3 You are strictly prohibited from utilizing AccountsUp’s services for any unlawful, fraudulent, unauthorized, or malicious purposes, or in any manner that could violate applicable laws, regulations, or the rights of third parties.

6. Disclaimer and Limitation of Liability

6.1 AccountsUp’s services are provided on a commercially reasonable effort basis with trusted and experienced professionals. We make no warranties, express or implied, regarding the ultimate outcome or specific results of our services, including but not limited to the maximization of tax savings, successful tender bids, or favourable litigation outcomes.

6.2 AccountsUp explicitly disclaims any responsibility or liability for any errors, omissions, delays in processing, or failures in the provision of services that may arise due to third-party failures (including government portals), technical malfunctions, force majeure events, changes in laws or regulations, or any circumstances beyond our direct and reasonable control.

6.3 To the maximum extent permitted by applicable law, in no event shall AccountsUp, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, loss of profits, data, business interruption, reputational damage, or other intangible losses) arising out of or in connection with your use of our services or the Website, even if AccountsUp has been advised of the possibility of such damages. Our total liability to you for any and all claims arising out of or related to these Terms, or our services shall not exceed the total amount of fees paid by you to AccountsUp for the specific service in question.  

7. Confidentiality and Data Privacy

7.1 AccountsUp is committed to safeguarding your privacy and will handle all personal and financial information you provide in strict accordance with our Privacy Policy, which forms an integral part of these Terms. By using our services, you consent to the collection, processing, and storage of your information as described in the Privacy Policy.

7.2 You agree not to disclose, disseminate, or share any confidential information, documents, methodologies, or advice provided to you by AccountsUp during your engagement with our services to any third party without our express prior written consent.

7.3 While AccountsUp employs reasonable and industry-standard security measures to protect your data against unauthorized access, hacking, or loss, you acknowledge and agree that no data transmission over the internet or electronic storage is entirely secure. AccountsUp shall not be held liable for any unauthorized access, hacking, data breaches, or loss of information that is caused by third-party service providers, technical failures beyond our reasonable control, or your own negligence.

8. Intellectual Property

8.1 All content, design elements, graphics, logos, trademarks, service marks, and information displayed on the Website, as well as any documents, templates, or methodologies provided as part of our services, are the exclusive property of AccountsUp and are protected by applicable copyright, trademark, and other intellectual property laws of India.

9.2 Upon termination, your right to use our services will immediately cease, and any outstanding obligations or liabilities you may have to AccountsUp under these Terms shall survive such termination. AccountsUp shall not be obligated to retain your data or provide you with copies thereof upon termination, except as required by applicable law.

10. Governing Law and Dispute Resolution

10.1 These Terms shall be exclusively governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

10.2 Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through good-faith negotiations between the parties. If such negotiations fail to resolve the dispute within a reasonable timeframe, the parties irrevocably agree to submit the matter to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India. You irrevocably consent to the personal jurisdiction of such courts.
